Terms of Service
These Terms of Service govern access to DevTools Academy's website, sales conversations, and creator-led GTM services. By using DevTools Academy, you agree to the terms below on behalf of yourself or the business you represent.

Agreement to Terms
By accessing the DevTools Academy website, booking a call, or engaging our services, you agree to be bound by these Terms of Service and any applicable order forms, statements of work, or supplemental policies that govern your relationship with us.
If you are using the services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these terms.
Eligibility and Accounts
You must provide accurate, current, and complete information when engaging with DevTools Academy. You are responsible for maintaining the confidentiality of any account or portal credentials we provide, limiting unauthorized access, and promptly notifying us of any suspected misuse.
Our Services
DevTools Academy is a specialized GTM partner that handles developer distribution for devtool companies by coordinating engagements with a vetted network of technical creators across channels such as Hacker News, Reddit, deep-dive technical blogs, and YouTube.
Specific deliverables, channels, timelines, and creator selections are defined in the order form or statement of work for each engagement.
Fees and Payment
We operate on a fixed-fee model. The fee covers our services and is stated in the applicable order form. There are no percentage cuts or undisclosed agency markups on the creator budget — the agreed creator budget goes toward distribution.
Unless otherwise stated in writing, fees are non-refundable and due in accordance with the payment terms in your order form. We may suspend or pause services for overdue amounts after providing reasonable notice where appropriate.
Customer Responsibilities
You are responsible for the accuracy and legality of the materials and information you provide to DevTools Academy, and for obtaining any rights or approvals necessary for us and our creators to use them in the engagement.
You remain responsible for your product claims, pricing decisions, regulatory compliance, and any direct relationships you choose to continue with creators outside the scope of our engagement.
Creators and Deliverables
Creators in our network are independent contributors. We vet creators, coordinate briefs, and manage deliverables on your behalf, but creators retain editorial discretion over their content unless otherwise specified in writing.
We do not guarantee specific business outcomes — such as signups, conversions, or revenue — from any individual placement. We do commit to running engagements professionally and reporting on performance as agreed.
No Guarantee of Results
DevTools Academy provides creator-led distribution services. We do not guarantee any specific platform outcomes, including but not limited to virality, search engine rankings, front-page placement on Hacker News, Reddit, or other channels, video views, follower growth, referral traffic, signups, conversions, or revenue.
Performance of any creator placement depends on factors outside our control — including algorithmic decisions by third-party platforms, community reception, timing, market conditions, and the quality and claims of the underlying product. Past performance of comparable engagements is not a guarantee of future results.
Acceptable Use
You may not:
- Use our services to promote unlawful, infringing, misleading, or malicious content.
- Solicit creators in our network to bypass DevTools Academy during an active engagement.
- Misrepresent your identity, authority, or company when engaging with us.
- Interfere with the security or operation of our site, portals, or internal systems.
Intellectual Property and Content Ownership
DevTools Academy and its licensors retain all right, title, and interest in our site, branding, methodology, templates, and related intellectual property. Except for the limited rights expressly granted under these terms or your order form, no rights are transferred to you.
Creator content. Unless otherwise specified in the applicable order form or statement of work, creators retain ownership of the original content they produce (such as articles, videos, posts, and comments). Through the engagement, creators grant DevTools Academy and the customer a limited, non-exclusive license to use, reference, and amplify that content for the purposes of the campaign and ordinary marketing use (such as case studies, social reposts, and portfolio pages).
Customer reuse. Customers may reuse and repurpose creator deliverables for their own marketing channels (for example, quoting an article, embedding a video, or resharing a post) only to the extent expressly permitted in the applicable order form or statement of work, and subject to any attribution requirements stated there. Reuse beyond that scope requires separate written permission from the creator.
Content produced by creators is otherwise governed by the rights granted in the applicable engagement. Feedback you choose to provide may be used by DevTools Academy to improve our services without restriction or obligation to you.
Cancellation and Termination
Either party may terminate an engagement in accordance with the notice and termination provisions of the applicable order form or statement of work. In the absence of those provisions, the following applies by default:
- Cancellation before work begins. If a customer cancels before DevTools Academy has begun delivery and before any creator budget has been committed, we will refund any prepaid fees less reasonable costs already incurred (for example, scoping, sourcing, or onboarding work).
- Cancellation mid-engagement.If a customer cancels after work has started, fees and creator budget already committed or earned are non-refundable. Any remaining unspent creator budget that has not yet been committed will, at the customer’s election, be refunded or applied as credit toward a future engagement. DevTools Academy service fees covering work already performed remain payable.
- Live placements. Once a creator placement has been published, fees attributable to that placement are fully earned and non-refundable, regardless of subsequent cancellation.
- Termination for cause. Either party may terminate immediately for material breach that is not cured within a reasonable period after written notice.
On termination, your right to use the services ends immediately, except as otherwise provided in your order form or statement of work. Sections that by their nature should survive termination — including intellectual property, payment, disclaimers, limitation of liability, and governing law — will continue to apply.
Availability and Changes
We may modify, enhance, or discontinue features of our site and services from time to time. We may suspend or terminate access if required by law, for security reasons, or for material breach of these terms.
Disclaimers and Limitation of Liability
Except as expressly stated in a written agreement, DevTools Academy is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, DevTools Academy will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising from or related to the services.
Governing Law and Jurisdiction
These Terms of Service, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws principles.
The state and federal courts located in Delaware will have exclusive jurisdiction to settle any such dispute or claim, and each party submits to the personal jurisdiction of those courts.
